Terms and conditions Updated: 2026-10-21 Terms prepared specifically for the Yukeqi platform operated by CG Marketing GmbH. Expanded working draft for legal review: not currently a binding contractual basis. Before customer launch, the law-firm and cost model, evidence of success, payment arrangements and valid incorporation, including liability, language and jurisdiction provisions, must be reviewed and implemented. 1. Provider and scope Yukeqi is provided by CG Marketing GmbH, Gartengasse 25, 7083 Purbach am Neusiedler See, Austria, FN 588222 h, Landesgericht Eisenstadt. The service is exclusively for businesses acting in their trade or profession. The future final version applies only when validly agreed before contract conclusion. Individual agreements take precedence. This working draft does not change existing contracts. The sole contracting party for platform services is CG Marketing GmbH. Shareholders, directors and staff do not assume a personal guarantee, surety or separate contractual obligation by performing the contract. Personal liability arising by law is not excluded. Customer purchasing or business terms apply only with the express agreement of CG Marketing GmbH; merely performing an order does not constitute consent. Individually agreed services and commitments remain binding. christoph@cg-marketing.at: mailto:christoph@cg-marketing.at +43 660 6500 847: tel:+436606500847 2. Technical platform service Yukeqi supports matching public Amazon.de product reviews, technical screening, case selection and records of progress, messages and evidence. Customers decide which reviews to approve. Screening is not legal advice and does not conclusively establish that a review is unlawful. Public data may be incomplete or delayed. A negative rating alone does not create a right to removal. CG Marketing GmbH performs its services in compliance with the statutory provisions in force at the time of each processing step and the published Amazon policies applicable to the relevant measure. Individual legal assessments and legal representation remain the responsibility of the separately engaged law firm. Yukeqi does not remove reviews itself; Amazon decides on complaints and removal. The scope is determined by the specific accepted order. Unless separately agreed, it does not include continuous monitoring of all reviews, account reinstatement, crisis management, product compliance assessments, tax advice, monitoring legal deadlines or pursuing reviews on other marketplaces. Statutory duties to inform, protect and warn, and duties expressly assumed, remain unaffected. Public data, automated classifications and automated translations may be incomplete, delayed or incorrect. The original review, product connection and customer documents must therefore be checked for the individual case before a legal measure. This does not reduce the duty to provide platform services carefully or correct our own errors. 3. Separate law-firm engagement Legal assessment and representation are performed only by an authorized law firm under a separate agreement between the customer and that firm. The firm independently decides whether to accept and how to handle an engagement. Registration or technical approval does not replace acceptance of the engagement or a required power of attorney. The firm, scope, fees, responsibility for costs and privacy information must be identified and agreed before engagement. Registration alone does not instruct court proceedings or additional services. Automatic transmission to a law firm is not connected in the current project. Before acceptance, CG Marketing GmbH may reject orders that are unlawful, insufficiently supported or outside the agreed scope. If such circumstances emerge later, only the affected work may be suspended or terminated under sections 7 and 9. Paid work is not carried out without the necessary instructions or authority. Court proceedings, appeals, additional formal demands or defending counterclaims are included only following separate information about services and costs and separate instructions. These terms do not undertake to pay for such additional proceedings. Any individually promised coverage remains binding; the agreed success fee is not subsequently increased by regular costs. 4. Account and approvals The free account and technical screening alone do not place a paid removal order. Users must be authorized to represent the company, provide accurate information and protect their credentials. Before a paid order, selected reviews, specific services and the price or binding maximum price must be visible. Entries must be reviewable and correctable before submission. A technical receipt is not acceptance of a law-firm engagement. Only authorized representatives or duly empowered persons may place orders and make declarations. Customers must keep company, billing and contact details up to date, protect credentials, remove access for departed personnel and promptly report detected misuse. Use of an account alone is neither conclusive evidence of authority nor a basis for strict customer liability. Registration and free screening are not paid removal orders. Purchasing a credit package is a separate transaction and does not itself order removal of any particular review. A removal order requires specific approval of reviews, scope and standard-price or credit funding, and acceptance by CG Marketing GmbH. An automatic acknowledgment constitutes acceptance only if it expressly says so. Separate acceptance by the law firm remains necessary. Contractual communications are sent through an agreed channel that permits their retention. Customers check these messages at reasonable intervals; statutory rules on receipt and proof remain unchanged. Silence does not mean agreement to new prices, services or terms. 5. Success-based platform fees A success-based platform fee arises only when Amazon actually removes the specifically commissioned review as a result of the commissioned work and the removal is documented in a verifiable manner. Standard cases are billed only after that success. For credit-funded cases, a reserved unit is used only then; the separate package purchase is paid upfront (section 6). An unsuccessful case incurs no standard success fee and its reserved credit becomes available again. Screening results, status changes or temporary technical inaccessibility do not constitute removal. Prices marked net are in euros excluding any applicable VAT. The maximum price confirmed before approval must not be exceeded. Previously billed removals are not retrospectively repriced. Standard rates depend on cumulative successful removals: 1-20: EUR 159; 21-120: EUR 149; 121-300: EUR 139; 301-500: EUR 129; from 501: EUR 119 net per review. Successful credit-funded cases also count towards this price tier. The standard price at success never exceeds the approved cap. Credit-funded cases use the price agreed at package purchase. Existing orders retain their agreed conditions. Before an order, the specific procedure for documenting and communicating success, included regular law-firm fees and available payment methods must be specified. Section 5b and expressly confirmed order conditions additionally govern platform fees. These terms do not retrospectively make unsuccessful orders chargeable. Reviews removed before the order, mere moves or merges of product pages and removals independent of the commissioned work do not in themselves create a fee entitlement. Each commissioned review is billed only once for the same removal outcome. Automated status displays do not replace verifiable evidence of success. Standard cases may be billed individually or together, always after each documented success. Credit purchases and usage are recorded separately; a covered case incurs no additional card charge or second payment demand. Tax invoice requirements remain unaffected. Reasonably disputed successes are reviewed against the evidence. Objections are not excluded merely by expiry of a short notification period; undisputed items remain payable. 5a. Republication following changes in law or Amazon policies The billable success is the actual, documented removal of the commissioned review under section 5. No guarantee is given that a review properly removed will remain permanently removed following subsequent changes in statutory provisions or applicable Amazon policies. If Amazon republishes an initially successfully removed review exclusively because of a change in statutory provisions or applicable Amazon policies occurring after the removal, the fee entitlement for the properly performed service remains in place. A fee already paid will not be refunded for that reason, nor does that reason create an entitlement to a price reduction or credit. This requires that the original removal met section 5 and that the subsequent change is demonstrated to have caused the republication. This provision does not cover cases where the original success-based billing was unjustified, the agreed service was defective, or republication results from a breach of duty attributable to CG Marketing GmbH or persons it uses to perform its contractual obligations. Statutory warranty rights, damages claims subject to section 8a and other mandatory rights remain unaffected. 5b. Payment, default and objections For standard cases, the saved card is charged only under separately confirmed authorization, after documented successful removal and invoicing, at the agreed price including applicable VAT. There is no preauthorization or reservation of the order amount. Authorization may be revoked for future charges; existing debts remain due. If another payment method is agreed, payment is due within 14 calendar days of receipt of the invoice unless otherwise agreed, and never before proven success. Optional credit purchases are paid upfront under section 6. No subscription is created. Late payment is subject to statutory commercial default interest under section 456 UGB: 9.2 percentage points above the applicable base rate where the customer is responsible for the delay; otherwise, the lower statutory rate applies. The EUR 40 recovery-cost allowance under section 458 UGB and additional necessary, appropriate and proportionate recovery costs may be claimed only where their respective legal conditions are met. The same costs are not charged twice. Customers may set off counterclaims established by final judgment, acknowledged by us or undisputed, and counterclaims arising from the same contractual relationship. Statutory rights to withhold performance or payment for defective or outstanding counter-performance remain unaffected. A chargeback or payment-provider procedure does not finally determine the underlying claim. After an unsuccessful reminder with a reasonable additional deadline, we may refuse new orders and suspend work not yet begun insofar as outstanding amounts are undisputed or established by final judgment. Ongoing deadlines, legitimate customer protection interests and duties already assumed are taken into account. Unsuccessful cases are not billed as a substitute for unpaid invoices. 6. Credit packages and Express submissions Credit packages replace new volume offers and submissions. Credits are units for successful review removals, not a freely usable euro balance. One credit covers one successful removal. Packages are paid for upfront and credited only after payment is confirmed. Displaying or selecting a package does not create available credits. Package purchases are not enabled yet. Offered packages, with net unit and total prices: 25 × EUR 139 = EUR 3,475; 50 × EUR 119 = EUR 5,950; 100 × EUR 99 = EUR 9,900; 250 × EUR 89 = EUR 22,250; 500 × EUR 79 = EUR 39,500. Applicable VAT is additional. Quantity, unit price, total, tax treatment and payment conditions must be displayed and confirmed before purchase. Conditions agreed at purchase apply; subsequent price changes do not change existing credits. Accounts start with ten standard slots. Following review of sufficient successful and fully paid cases, 20, 30, 40 or 50 slots may be unlocked. Open and unpaid standard cases occupy slots. Before submission, customers choose payment after success, credits, or an explicitly confirmed split. Credits can also be used while standard slots remain free. The funding allocation must be shown before approval. A package need not be used in a single submission; the former minimum of 100 reviews and requirement for ten invoiced removals do not apply to credit packages. One unit is reserved per credit-funded case on submission and is unavailable for other cases during processing. Only documented success under section 5 uses that unit. It becomes available again when the case closes unsuccessfully. Reservation is not consumption, and release is not an additional credit grant. Duplicate processing of the same success must not consume a second unit. Credit-funded requests receive Express handling at no extra surcharge. Priority includes handoff to and processing by the appointed law firm. Processing at Amazon remains unchanged. No specific processing time or successful removal is guaranteed. Included Express handling is not additionally charged to the card. Customers can cancel standard cases through the platform until the law firm starts processing. Express and credit-funded cases cannot be cancelled through the platform after submission or conversion to Express. Statutory termination rights, justified objections and claims arising from breach remain unaffected. A case validly ended without success does not consume credit merely because the submission was binding. Credits cannot be cashed out or voluntarily refunded, are non-transferable and do not expire. Closing an account creates no voluntary right to a cash payout. Mandatory statutory rescission, warranty and refund rights remain unaffected. Previously accepted volume orders retain their original terms, without automatic conversion or another charge. 6a. Express without credits Express explicitly selected without credits adds EUR 20 net per successful removal to the confirmed standard price. The approved cap remains binding; no success means no Express surcharge. Priority and binding confirmation follow section 6. Open orders may be upgraded only before the first law-firm handoff and with separate price and binding confirmation. Credit-funded cases already include Express and incur no additional surcharge. 7. Customer information, cooperation and parallel proceedings Customers may submit only reviews of their own products or products they are demonstrably authorized to represent. They must provide correct Seller IDs, ASINs, review IDs, powers of attorney, facts and evidence, identifying uncertainties. Necessary evidence of representation and authority must be provided on a justified request. False factual allegations, forged documents, unfounded allegations of infringement, intimidation and review manipulation are prohibited. Ongoing complaints, court proceedings, previous decisions, settlements, formal demands and parallel instructions to other providers for the same review must be disclosed insofar as relevant. Customers notify us of their own removal requests and changes or removals that come to their attention. This does not transfer independent assessment duties of CG Marketing GmbH or the law firm to the customer. If necessary information or authority is missing, we may suspend the affected steps pending clarification and set a reasonable cooperation deadline. Processing periods are extended only by the demonstrably resulting delay for which we are not responsible. After notice of consequences and expiry of the deadline without cooperation, the affected order may be terminated where legally permitted. This alone creates no success fee. Customers must not provide Amazon passwords or personal data or trade secrets unnecessary for the order. Cooperation duties do not relieve us of our own care, checking apparent inconsistencies or necessary security measures. 7a. Third-party claims and indemnity for culpable customer breaches If the customer culpably breaches section 7 or infringes third-party rights through content or instructions it provides, and a third party consequently brings a justified claim against CG Marketing GmbH, the customer indemnifies CG Marketing GmbH to the extent of its responsibility. Necessary and reasonable legal defence costs are also recoverable. A mere unfounded third-party allegation creates no payment obligation. We promptly inform the customer of the claim and allow reasonable participation in the defence. An admission or settlement imposing costs on the customer requires its consent, which must not be withheld without objective reason. Necessary measures to preserve defence deadlines remain possible; costs must be evidenced. Contributory fault of CG Marketing GmbH and conduct legally attributable to it through persons performing its obligations are taken into account. This indemnity does not cover our own legal violations, sanctions or fines that cannot legally be shifted, or strict assumption of all business risks. Statutory burdens of proof remain unchanged. 8. Results, availability and responsibility Amazon decides whether to remove a review. No particular processing time, removal of every review, star rating or revenue increase is promised. The claim that over 50% of negative reviews can be removed for most sellers is not a guarantee for an individual customer or case. Platform services and the separate law-firm engagement have distinct areas of responsibility. The engaged law firm is responsible under its separate engagement and applicable statutory provisions. This does not exclude any responsibility legally attributable to CG Marketing GmbH for persons it uses to perform its contractual obligations. Statutory rules govern the liability of CG Marketing GmbH, subject to section 8a. Unless expressly agreed individually, no specific number of removable reviews, complete dataset, ranking, Buy Box position, unchanged review count or ratio of positive to negative reviews is owed. Forecasts and general success claims are not promises of a particular commercial result. Individual commitments and statutory rights concerning misleading statements remain unaffected. 8a. Liability, Amazon account suspensions and commercial losses CG Marketing GmbH has unrestricted liability under statutory provisions for intent and gross negligence of its governing bodies, legal representatives and persons used to perform its obligations; injury to life, body or health; and mandatory statutory liability, in particular product liability and Article 82 GDPR. Claims under an expressly assumed guarantee are governed by that guarantee. Liability for property damage and financial losses caused by slight negligence is excluded unless an essential contractual duty has been breached. Essential duties include careful processing of commissioned case data, observing valid customer approvals and price limits, correct success-based billing and contractual protection of entrusted data. Statutory liability remains for breach of these duties caused by slight negligence. This liability rule also applies to claimed lost revenue or profit, lost sales opportunities, ranking or reputational damage, business interruption, data restoration and additional storage, logistics and advertising costs. These types of loss are not categorically excluded where essential duties are breached or in the circumstances stated in the first paragraph. Amazon independently decides on suspension, restriction and deactivation of seller accounts or listings and the publication, removal, attribution and visibility of reviews. We do not guarantee continuation of an account, listing or Amazon decision. We are not liable for damage from measures that do not involve a breach attributable to us or persons used to perform our obligations. The limitation extends equally to contractual claims against our governing bodies and staff for their work for us; mandatory personal statutory liability remains unaffected. This section does not change statutory rules on warranty, causation, burden of proof or contributory fault to the detriment of the customer. 8b. Availability, third-party providers and exceptional disruption Unless separately promised, uninterrupted platform availability, unchanged Amazon or data-provider interfaces, continuous access to all reviews and a fixed processing time are not owed. Maintenance and security measures reasonably take customer interests into account and are announced where foreseeable and material. Events beyond our reasonable control that cannot be avoided even with due care may temporarily prevent the affected performance, such as official prohibitions, widespread network failures or natural events. A cyberattack, interface change or failure of a provider used by us is not automatically force majeure. We remain responsible under section 8a for our own security, selection, organizational or precautionary failures and third-party conduct legally attributable to us. We inform customers of material disruption, limit its effects and take reasonable steps to resume performance. Delays excuse timely performance only to the actual extent and for the duration affected. Mandatory rights and rights to terminate for impossibility or unreasonable continuation remain intact. Disruption does not make reviews that have not been successfully removed chargeable. 8c. Error reporting, evidence and mitigation Customers should report known errors, incorrect attribution, unauthorized approvals, security incidents and disputed success displays without culpable delay after becoming aware, identifying the case. We are given an opportunity to investigate and, where legally required and reasonable, remedy the issue. Urgent protective measures, access to courts and statutory deadlines are not restricted. Both parties take reasonable steps to mitigate impending loss. Customers retain their own original documents and keep accessible completion evidence provided to them where reasonable. This does not replace our contractual or statutory backup and retention duties. Failure to cooperate does not automatically extinguish claims; contributory fault is assessed under statutory rules. Status logs, timestamps and retained evidence may assist clarification but are not conclusive proof. Statutory rules on burden of proof and limitation periods apply. Our own system records are not agreed to be the exclusive form of proof. 9. Suspension, termination and ongoing orders Where there are concrete indications of account misuse, missing authority, unlawful content or a serious threat to the platform, we may temporarily restrict the affected access or work. Measures must be necessary and proportionate and may be immediate in an acute emergency. We inform the customer of the reason and necessary remedy unless this would jeopardize a legal duty or legitimate security measure, and lift restrictions when their cause ceases. Customers may close their free platform account at any time prospectively. We may terminate free account provision on 30 days’ notice. This does not cancel accepted paid individual orders, which are performed as agreed or separately terminated validly. Both parties retain rights to terminate for good cause; remediable breaches generally require a reasonable prior remedy period. Account closure, revocation of a power of attorney and termination of the law-firm engagement are separate declarations. A platform stop request does not automatically revoke authority with the firm and cannot technically reverse steps already sent to Amazon. We promptly process an effective stop request within our duties. Statutory termination and revocation rights are not excluded. If a demonstrable removal result occurs after effective termination because of measures lawfully commissioned and performed beforehand, the agreed success fee remains payable for that result; it is not charged twice. This does not cover unauthorized continuation of work. Termination creates no flat cancellation fee, fee for unsuccessful cases or advance payment. On termination, existing customer data that must lawfully be handed over is provided on request in an available commonly used format; statutory retention and privacy duties remain. Data is not deleted to frustrate legitimate evidence or handover claims. On valid termination, reserved units without a billable success are released. Units properly used remain used, subject to statutory correction or refund rights. Unused credits are settled separately under section 6 and are not deleted merely because the account is closed. 10. Privacy and confidentiality Personal data processing is explained separately under Privacy & cookies. These terms do not replace a required data processing agreement, legally required information or legal basis. Data-subject rights, supervisory powers and mandatory liability are not restricted. Both parties keep non-public business and case data confidential and use it only for agreed performance and legitimate exercise of rights. Necessary disclosure to properly engaged providers, authorized advisers, authorities and courts remains permitted. Information already public or independently lawfully obtained is excluded. Confidentiality does not prohibit truthful public reviews, legally protected reporting, complaints or enforcement of rights. Using a customer’s name, logo or cases as a reference requires separate permission. 11. Usage rights, platform protection and amendments For the contract term, customers receive a non-exclusive, non-transferable right to use the platform for the agreed business purpose. Circumventing access restrictions, unauthorized access to others’ data, deliberate system overload and unauthorized resale of access are prohibited. Non-waivable statutory usage rights and expressly permitted interface use remain intact. CG Marketing GmbH receives only the usage permissions for customer documents needed for agreed processing, transmission to the separately engaged law firm and necessary evidence preservation. No general transfer of rights or permission for advertising arises. New terms or prices apply to future orders only after valid agreement. A website amendment does not change existing price limits or accepted commitments. Necessary technical changes must not undermine agreed core services. An invalid clause is not automatically replaced with the most favorable legally permissible provision for us; statutory consequences apply. 12. Contract language, governing law and jurisdiction The platform contract is governed by Austrian substantive law, excluding the UN Convention on Contracts for the International Sale of Goods. Mandatory provisions of other legal systems and statutory third-party rights remain unaffected. This choice does not determine the law of the separate law-firm engagement or the lawfulness of a challenged review. For disputes under the platform contract in business-to-business dealings, the Austrian court with subject-matter and territorial jurisdiction for the registered office of CG Marketing GmbH in Purbach am Neusiedler See is agreed to have exclusive jurisdiction. This requires valid, documented consent under the applicable rules. Mandatory exclusive jurisdiction and legally available interim relief remain unaffected. The intended governing contract language is German. The German version prevails only if it and the requested English or Chinese translation were fully available before contract conclusion and this language priority was expressly agreed. Individual commitments and statutory rights in the event of inconsistent or erroneous translations remain unaffected. Customers must be able to save or print the contract version before agreeing. yukeqi-legal-draft-2026-10-21-credits-r2
